Prepared AGM meeting table with attendance roll and voting materials

Can Your AGM Quorum Record Stand Up to Review?

Twenty people are in the room. The chair declares the meeting quorate. Then somebody asks a simple question: “Which twenty?”

Were they current constitutional members on the meeting date? Were they voting members? Did a proxy count? Was an apology accidentally included? Did an affiliated organisation count once, or did several contacts inflate the total?

A quorum challenge is rarely about arithmetic. It is about whether the club can show the chain from its rules to its register to the attendance record.

Start with the constitutional register

Do not calculate AGM quorum from an email list, a payment spreadsheet or the player roster. Those lists answer different questions.

A constitutional Member Register records who has actually been admitted as a member, their category, the date membership began and, where relevant, the date it ceased. A paid subscription can expire without necessarily ending constitutional membership. A regular player may not be a constitutional member at all.

That distinction is central to designing your Member Register. The committee should settle its category policy before meeting day, including which categories vote and how organisational members are counted.

In ServeLeague, voting eligibility is derived from the register category. Current categories treated as voting are Club, Individual and Life; Non-voting Ordinary is not. That is the current product rule, not universal legal advice. Your constitution, incorporated-society requirements and any board interpretation remain authoritative for your club.

The Member Register and Governance tools require the relevant ServeLeague plan and may not be enabled for every club. Administrators should verify access before the notice period begins.

Run a register exception review several weeks before the AGM. Look for missing admission dates, unresolved applications, duplicate people and category changes without a recorded decision. Meeting night is too late to discover that familiar attendees were never formally admitted under the constitution.

Freeze the question at the right date

Quorum is an as-of question. The relevant roll should be derived for the meeting’s quorum-basis date, not silently recalculated from whatever the register looks like a week later.

Suppose a member was admitted after the AGM but before the minutes were completed. They should not appear in the meeting roll merely because the secretary reopened the record later. Likewise, a category change should not rewrite how someone counted at an earlier meeting.

The Board meetings workflow derives the meeting roll from the constitutional Member Register as of the quorum-basis date. It then overlays attendance marks on that roll. This is stronger than copying names into a fresh spreadsheet, because the attendance record and eligibility source remain connected.

Review the roll before the meeting. Confirm names, category, voting status and any recent admissions or cessations. The maintaining a Member Register tutorial explains why corrections should be explicit rather than quietly editing history.

At the door, presence alone is not enough.

At the meeting, distinguish at least:

  • Present voting members;
  • Proxy voting members;
  • Apology;
  • present but Non-voting attendees;
  • absent members.

Under the current rule, present voting members plus voting proxies count toward quorum. Apologies and non-voting attendance do not. A proxy mark requires a named proxy holder, creating a better record than a bare tick.

Decide how the club handles late arrivals and early departures. If the constitution requires quorum throughout, confirm the count again before major votes and record the time. The opening indicator may not govern the entire evening.

The threshold is currently half of the voting roll, rounded up. A voting roll of seven therefore requires four. Again, this is a product rule that clubs must compare with their own constitution. Do not describe a green Quorate indicator as a legal opinion. It means the configured threshold has been reached.

The running your governance register tutorial walks through Board meetings, attendance and the live quorum taker. The useful discipline is to mark attendance as people arrive and correct mistakes immediately, while the room can still confirm the facts.

Make the minutes capable of answering a challenge

Good minutes need more than “quorum was present.” Record:

  1. The meeting date and quorum-basis date.
  2. The voting roll count.
  3. The threshold applied.
  4. Present voting members and valid proxies counted.
  5. Apologies and non-voting attendees separately.
  6. The time quorum was confirmed.
  7. Any challenge raised and how it was resolved.

Keep the agenda, location, attendance and minutes together. If quorum is lost when members leave, record when that happened and which decisions occurred before or after it.

Governance software can make the calculation consistent, but it cannot decide an ambiguous constitution for the committee. Outstanding questions about category voting should be resolved through the club’s proper governance process, not guessed during the AGM.

If the club’s threshold differs from the platform’s current rule, do not force the meeting into a convenient number. Document the difference, seek appropriate advice and follow the governing document.

The aim is not to win an argument with a difficult member. It is to run a meeting whose record makes the argument unnecessary.
